IT’S OFFICIAL, WE’RE NOW IN THE FINAL STRETCH OF 2021!
Thank goodness! As corporate legal professionals know quite well, every year-end can be stressful. It is imperative to allow for sufficient time to process your filings, when holidays, weather and the end of the calendar year create roadblocks. Timing is key when it comes to avoiding costly year-end errors. To help you prepare, we’ve compiled the following year-end holiday closing schedule.
Delaware LLC Filing News
For the first time in history, DELAWARE WILL BE CLOSED ON DECEMBER 31, in observance of New Year’s Day. What does this mean to us? All dissolution filings or other filings that require the filing date of December 31st can be filed up to December 30th with an effective date of December 31st.
Otherwise, Delaware business filings may NOT be filed on 12/31 unless prior arrangements have been made:
A $2,500 special handling fee will be charged in addition to all customary disbursements.
The filing will not be processed until the state re-opens on 1/3/2022.
Prepositioning is MANDATORY and at least 24-hours’ advance notice is requested.

- December 31 – Closed: All except RI and SC
